Mandatory Identity Verification at Companies House – What It Means for Company Directors

From 18 November 2025, a new law will come into force in the United Kingdom requiring all company directors and persons with significant control (PSCs) to verify their identity with Companies House.

This change aims to improve corporate transparency but also introduces new obligations for every UK company.

What Will Change?

  • All company directors and PSCs must verify their identity with Companies House.
  • Once verified, each person will receive a unique personal code.
  • A Confirmation Statement will only be accepted if it includes the personal codes of all directors and shareholders holding more than 25% of shares.
  • If any code is missing, the submission will be rejected.

How Can You Verify Your Identity?

You have two options:

1️⃣ Online via GOV.UK

Use the “Verify your identity for Companies House” service through GOV.UK One Login.
You will need:

  • A valid photo ID (passport, driving licence, etc.)
  • A smartphone
  • An internet connection

2️⃣ Through an Authorised Agent (ACSP)

You can also ask your accountant (for example, EVLAteam)  or solicitor to verify your identity on your behalf.
This process includes a short video identification call, during which you’ll need to present your official ID documents.

What Happens If You Don’t Complete the Verification?

Failing to verify your identity on time can have serious consequences:

  • Both the individual and the company will be committing a criminal offence.
  • Companies House may impose fines or take legal action.
  • The company will be unable to file its Confirmation Statement, which could eventually lead to company dissolution.

What Should You Do Now?

Companies House is expected to process nearly 25,000 identity verifications per day, so delays are likely.
